1. Introduction
These Terms of Service govern your access to and use of CysuiteONE, including our website, platform, dashboards, reports, AI-assisted features, cybersecurity and compliance tools, and related services.
By accessing or using CysuiteONE, you agree to these Terms.
If you are using CysuiteONE on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
2. Definitions
- “CysuiteONE”, “we”, “us”, or “our” means Cysuite FZE.
- “Client”, “you”, or “your” means the organisation or individual using the services.
- “Platform” means the CysuiteONE software, dashboards, workflows, reports, AI assistant, and related tools.
- “User” means an individual authorised to access the Platform.
- “Client Data” means data submitted, uploaded, generated, or processed by or on behalf of the Client through the Platform.
- “Services” means the Platform and any related support, advisory, onboarding, monitoring, reporting, or professional services provided by CysuiteONE.
3. The CysuiteONE service
CysuiteONE provides cybersecurity, compliance, cyber resilience, risk, incident, evidence, reporting, and AI-assisted governance tools for regulated businesses.
The Platform may include:
- Cybersecurity and compliance dashboards
- Diagnosis and roadmap tracking
- Risk and control management
- Monitoring alerts
- Incident workflows
- Evidence management
- Regulation and laws watch
- Board-ready reporting
- AI-assisted guidance
- Advisory or support services, where included in your plan
4. Eligibility and authorised access
CysuiteONE is intended for business use only.
You may access the Platform only if you are authorised by CysuiteONE or by a Client organisation.
We may restrict access to approved email addresses, invited users, or authorised client domains.
You must not access or attempt to access the Platform if you are not authorised.
5. Accounts and security
Users are responsible for keeping login credentials secure.
You agree to:
- Provide accurate account information
- Use only your own account
- Keep passwords and authentication methods confidential
- Notify us promptly of suspected unauthorised access
- Ensure user access is removed when no longer required
We may suspend or restrict accounts if we suspect misuse, unauthorised access, security risk, or breach of these Terms.
6. Client responsibilities
Clients are responsible for:
- The accuracy and legality of Client Data
- Obtaining necessary rights and permissions to use Client Data
- Managing user access and permissions
- Reviewing outputs, reports, alerts, and AI-generated content
- Making final cybersecurity, compliance, legal, and business decisions
- Ensuring their use of the Platform complies with applicable laws and regulations
CysuiteONE supports cybersecurity and compliance governance, but does not replace your own legal, regulatory, cybersecurity, or management responsibilities.
7. AI-assisted guidance
CysuiteONE may provide AI-assisted outputs, summaries, recommendations, and explanations.
AI-generated content is provided for informational and operational support only.
You acknowledge that:
- AI outputs may not always be complete, current, or error-free
- AI outputs should be reviewed before use
- AI outputs are not legal, regulatory, audit, or cybersecurity advice
- You remain responsible for decisions, submissions, controls, notifications, and reports
8. No guarantee of compliance or security
CysuiteONE helps clients improve cybersecurity visibility, evidence readiness, compliance governance, and incident coordination.
However, we do not guarantee that:
- You will achieve legal or regulatory compliance
- You will pass any audit or regulatory review
- You will avoid cyber incidents
- All risks, threats, vulnerabilities, or compliance gaps will be detected
- Reports or outputs will be accepted by regulators, auditors, boards, or third parties
Cybersecurity and compliance require ongoing governance, implementation, review, and professional judgement.
9. Acceptable use
You must not:
- Use the Platform for unlawful purposes
- Attempt to gain unauthorised access to systems or data
- Upload malicious code
- Interfere with Platform security or availability
- Reverse engineer, copy, or misuse the Platform
- Use the Platform to conduct unauthorised security testing
- Submit false, misleading, or unlawful data
- Violate third-party rights
- Use the Platform in a way that could harm CysuiteONE, other users, or third parties
10. Client Data
You retain ownership of Client Data.
You grant CysuiteONE a limited right to process Client Data to:
- Provide the Services
- Maintain and secure the Platform
- Generate dashboards, reports, alerts, and insights
- Provide support
- Meet legal and contractual obligations
- Improve service reliability, security, and performance
We will not sell Client Data.
11. Confidentiality
Each party may receive confidential information from the other.
Confidential information must be protected using reasonable care and used only for purposes related to the Services.
Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
12. Data protection
Each party agrees to comply with applicable data protection and privacy laws.
Where CysuiteONE processes personal data on behalf of a Client, the parties may enter into a data processing agreement.
Clients are responsible for ensuring that personal data submitted to the Platform is collected and processed lawfully.
13. Third-party services
The Platform may use or integrate with third-party services such as hosting, authentication, email, analytics, payment, AI, monitoring, or cloud providers.
CysuiteONE is not responsible for third-party services outside our reasonable control.
Your use of third-party services may be subject to their own terms and policies.
14. Subscriptions, fees, and payment
Fees, subscription plans, billing cycles, and included services are set out in the applicable order form, proposal, subscription page, or agreement.
Unless otherwise agreed:
- Fees are payable in advance
- Fees are non-refundable except where required by law or expressly agreed
- Late payments may result in suspension of access
- Taxes, bank charges, and payment processing fees may apply
We may update pricing or plans with reasonable notice.
15. Advisory hours and professional services
Some plans may include advisory hours, onboarding support, implementation support, or professional services.
Unused advisory hours may expire at the end of the relevant billing period unless otherwise agreed.
Advisory support is provided for operational guidance and does not constitute legal advice unless expressly agreed in writing with a qualified legal provider.
16. Availability and support
We aim to provide a reliable and secure Platform.
However, we do not guarantee uninterrupted or error-free availability.
The Platform may be unavailable due to maintenance, updates, outages, security events, third-party failures, or circumstances outside our control.
Support levels may depend on your subscription plan.
17. Intellectual property
CysuiteONE owns all rights, title, and interest in the Platform, software, workflows, templates, designs, documentation, reports, AI configuration, and related intellectual property, excluding Client Data.
You may not copy, modify, distribute, resell, or create derivative works from the Platform unless expressly authorised.
Feedback you provide may be used by CysuiteONE to improve the Platform without obligation or compensation.
18. Beta, demo, or pilot features
We may provide beta, demo, pilot, or preview features.
Such features may be incomplete, experimental, or subject to change.
We may modify or discontinue them at any time.
Where pilot terms apply, they may be set out in a separate agreement.
19. Suspension and termination
We may suspend or terminate access if:
- Fees are unpaid
- You breach these Terms
- We detect security risk or misuse
- Continued access may harm CysuiteONE, users, clients, or third parties
- Required by law, regulator, court, or authority
You may terminate your subscription according to the applicable plan or agreement.
Upon termination, access may be disabled, and Client Data may be deleted or exported according to our retention policy and applicable agreement.
20. Disclaimers
The Platform and Services are provided on an “as is” and “as available” basis, except as expressly stated in an agreement.
To the maximum extent permitted by law, CysuiteONE disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free operation.
21. Limitation of liability
To the maximum extent permitted by law, CysuiteONE will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, goodwill, data, or business opportunity.
Unless otherwise agreed in writing, CysuiteONE’s total liability arising out of or relating to the Services will not exceed the fees paid by the Client to CysuiteONE in the twelve months before the event giving rise to the claim.
This limitation does not exclude liability that cannot be excluded under applicable law.
22. Indemnity
You agree to indemnify and hold CysuiteONE harmless from claims, losses, damages, liabilities, and expenses arising from:
- Your misuse of the Platform
- Your breach of these Terms
- Your violation of applicable laws
- Client Data submitted to the Platform
- Unauthorised use of your account or systems
23. Changes to the Services or Terms
We may update the Platform, features, pricing, policies, or these Terms from time to time.
If changes are material, we will provide reasonable notice.
Continued use of the Services after changes become effective means you accept the updated Terms.
24. Governing law and disputes
These Terms are governed by the laws of [Insert governing law jurisdiction, e.g. United Arab Emirates / Dubai / DIFC / ADGM / Sharjah, depending on your legal setup].
The courts of [Insert jurisdiction] will have exclusive jurisdiction, unless otherwise agreed in writing.
